A clear agreement for moving fast together.

1. Working relationship

When you approve a proposal, sign a statement of work, or otherwise engage Smart Designs, you accept these terms. We will always share a written scope detailing deliverables, timelines, commercial terms, and any third-party services involved. Project leads and communication channels are confirmed during onboarding.

2. Your responsibilities

• Provide accurate information, brand assets, and access credentials necessary to deliver the work.
• Review deliverables promptly so we can iterate quickly and keep the schedule on track.
• Ensure any supplied data or content complies with applicable laws, intellectual property rights, and privacy duties.
• Maintain security of any accounts or environments you invite us into, including revoking access when projects close.

3. Our commitments

• Deliver the agreed scope using qualified Smart Designs team members or pre-approved specialist partners.
• Operate with ISO-ready processes, modern security practices, and encrypted infrastructure providers.
• Communicate progress transparently, flagging risks early and documenting decisions in shared workspaces.
• Provide 30-day warranty support on launched features to remedy issues caused by our implementation.

4. Fees and payment

Pricing will be outlined in your proposal or statement of work. Unless otherwise agreed, invoices are due within 14 days and may be issued in stages aligned to milestones. Late payments can pause delivery and may accrue interest at 2% per month. Subscription or hosting fees are billed separately and continue until cancelled in writing.

5. Intellectual property

You retain ownership of existing assets and data you provide. Upon full payment, we grant you a licence (or assign ownership, where agreed) to use the deliverables within your organisation. Smart Designs retains rights to internal frameworks, templates, and tooling used to accelerate delivery, though we never share your confidential information.

6. Confidentiality & data protection

Both parties agree to keep non-public information confidential and to use it solely for the project. We follow the safeguards described in our Privacy Policy and promptly notify you of any incident that materially impacts your data.

7. Limitation of liability

To the fullest extent permitted by law, Smart Designs’ liability is capped at the fees paid for the service giving rise to the claim. We are not liable for indirect or consequential losses, loss of profits, or issues caused by third-party platforms beyond our control.

8. Termination

Either party may terminate an engagement with 14 days’ written notice if the other materially breaches these terms and does not remedy the breach within that period. You remain responsible for work completed and costs committed prior to termination. We will assist with handover in good faith.
